Welcome to Neuroflix ("we," "us," "our," or "the Platform"), an AI-powered corporate learning platform operated through the website neuroflix.sg (the "Website" or "Platform"). These Terms of Service ("Terms") govern your use of our services and constitute a legally binding agreement between you and Neuroflix.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Definitions

For the purposes of these Terms:

3.3 Account Responsibility

• You are fully responsible for all activities that occur under your Account.
• Corporate Users are responsible for all activities of their employees on the Platform.
• You may not share your Account credentials with unauthorized parties.

4. Description of Services

4.1 Neuroflix provides an AI-powered corporate learning platform that offers:

• AI-generated training videos from uploaded documents and PDFs
• Custom character creation and style selection
• Interactive quizzes and checkpoint questions
• Personalized recap videos based on individual learning gaps
• Storyboard generation and editing capabilities
• Netflix-style streaming interface for corporate training
• Progress tracking and performance analytics
• File upload and content management features

4.2 Service Limitations

• Our AI Services are educational and training tools and should not be considered substitutes for professional instruction or legal compliance verification.
• AI-generated content may contain errors, inaccuracies, or omissions.
• We do not guarantee any specific learning outcomes, compliance certification, or performance improvements.
• The Platform is not a substitute for professional training, legal advice, or regulatory consultation.
• Organizations remain responsible for ensuring their training meets all applicable regulatory requirements.

5. Use of AI Technology

5.1 AI-Generated Content

By using our Services, you acknowledge and agree that:

• Content is generated using artificial intelligence technology.
• AI-generated videos, characters, quizzes, and learning materials may not be 100% accurate or appropriate for all contexts.
• You should review and verify all AI-generated content before deploying it for training purposes.
• We do not guarantee the accuracy, completeness, quality, or reliability of AI-generated content.
• AI-generated characters and scenarios are fictional and for training purposes only.

5.2 Responsible Use

• You agree to use AI-generated content responsibly and at your own risk.
• Corporate Users should implement appropriate review and approval processes for training content.
• You are responsible for ensuring content complies with applicable laws, regulations, and organizational policies.
• You should not use the Platform to create content that is discriminatory, offensive, or inappropriate.

6. User Content and Uploads

6.1 Content Upload

• You may upload PDFs, documents, images, training materials, and reference content to the Platform.
• File uploads are processed through UploadThing and stored on AWS S3.
• You retain ownership of all content you upload to the Platform.
• You can delete your uploaded files at any time through the Platform interface.

6.2 Content License

By uploading content to the Platform, you grant Neuroflix:

• A worldwide, non-exclusive, royalty-free license to use, process, transform, and display your content solely for providing the Services.
• The right to process your content through our AI systems to generate training videos, characters, quizzes, and learning materials.
• This license terminates when you delete your content from the Platform.

6.3 Content Restrictions

You agree not to upload content that:

• Infringes on any third-party Intellectual Property Rights.
• Contains malicious code, viruses, or harmful components.
• Is illegal, offensive, discriminatory, harassing, or inappropriate.
• Violates any applicable laws or regulations.
• Contains personal information of others without proper consent.
• Uses likenesses of individuals without appropriate permissions.
• Contains confidential or proprietary information you do not have rights to share.

6.4 Character Creation and Likeness Rights

• When creating characters based on real individuals, you must have appropriate permissions and consent.
• You represent and warrant that you have all necessary rights to use any images, likenesses, or reference materials uploaded.
• Corporate Users must obtain employee consent before using their likeness in training content.

7. Intellectual Property Rights

7.1 Platform Ownership

• Neuroflix owns all rights, title, and interest in the Platform, including all software, designs, algorithms, and trademarks.
• The Platform is protected by copyright and other Intellectual Property laws.
• The Neuroflix name, logo, and branding are our proprietary trademarks.

7.2 User Content

• You retain all rights to content you upload to the Platform.
• You are responsible for ensuring you have the right to upload and use any content.

7.3 AI-Generated Content

• Videos, characters, and materials generated by our AI based on your inputs are licensed to you for your internal training purposes.
• You may not resell, redistribute, or commercialize AI-generated content outside your organization without written permission.

7.4 Restrictions

You may not:

• Copy, modify, or create derivative works of the Platform.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Remove or alter any proprietary notices or labels.
• Use our trademarks without written permission.
• Attempt to extract or replicate our AI models or algorithms.

8. Acceptable Use Policy

9. Privacy and Data Protection

9.1 Data Collection and Use

• Your use of the Platform is subject to our Privacy Policy.
• We collect and process data as described in our Privacy Policy.
• File storage is managed through UploadThing and AWS S3, subject to their respective privacy policies.
• Learning analytics and progress data may be collected to improve the Services.

9.2 Data Security

• We implement reasonable security measures to protect your data.
• Authentication is managed by Clerk, which implements industry-standard security practices.
• However, no method of transmission over the internet is 100% secure.
• You are responsible for maintaining the security of your Account credentials.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROFLIX SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or other intangible losses
• Any damages exceeding the fees paid by you in the past twelve months
• Regulatory fines, penalties, or compliance violations arising from use of the Platform
• Errors or inaccuracies in AI-generated training content

12.2 This limitation applies regardless of the theory of liability and whether we have been advised of the possibility of such damages.

12.3 Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Neuroflix and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload to the Platform
• Your violation of applicable laws or regulations
• Use of AI-generated content for purposes beyond internal training
• Unauthorized use of individual likenesses or copyrighted materials

14. Termination

14.1 Termination by You

• You may terminate your Account at any time through your Account settings.
• Upon termination, your right to use the Services will immediately cease.
• You may export your data before terminating your Account.

14.2 Termination by Us

We may suspend or terminate your Account:

• For violation of these Terms
• For suspected fraudulent or illegal activity
• For extended periods of inactivity
• For non-payment of fees
• At our discretion with or without notice

14.3 Effect of Termination

• Upon termination, your access to the Platform will be disabled.
